1. Acceptance of Terms

If you are using the Service on behalf of a company or organization, you represent that you have the legal authority to do so and agree that these Terms will be binding on that entity.

3. User Responsibilities

Account Security: You must keep your account password confidential and immediately notify UTS of any unauthorized use.

Content Compliance: Content you upload to the Service (such as data and files) must comply with applicable laws and must not infringe upon the intellectual property or privacy rights of third parties. UTS reserves the right to review and remove any content that violates these laws.

Third-Party Services: If the Service integrates third-party tools (such as payment gateways or APIs), their use is subject to the terms of use of such third-party tools, and UTS assumes no responsibility for such use.

4. Intellectual Property

UTS Rights: The Service and all content (including but not limited to software, designs, trademarks, and documentation) are owned by UTS or its licensors and protected by copyright, patent, and trademark laws.

User Content License: You grant UTS a worldwide, non-exclusive, royalty-free license to use, store, and reproduce your content in order to provide the Service.

5. Disclaimer and Limitation of Liability

Service Availability: UTS does not guarantee that the Service will be uninterrupted or error-free, nor does it promise to correct all defects. Data Loss: You are responsible for backing up important data. UTS is not responsible for data loss resulting from service interruption, termination, or malfunction.

Indirect Damages: To the extent permitted by applicable law, UTS is not liable for any indirect, incidental, punitive, or consequential damages (including lost profits or business interruption).

Liability Limit: UTS's total liability for direct damages shall not exceed the service fees (if any) paid by you for the preceding 12 months.

6. Indemnification

You agree to indemnify UTS and its affiliates for all losses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of the Services, or third-party claims.

7. Governing Law and Dispute Resolution
